Sale Deed & Gift Deed Drafting in Delhi

A sale deed or gift deed is the legal instrument that actually transfers property ownership — errors here can undermine the entire transaction. We draft and manage registration for both, ensuring the transfer is airtight and fully compliant.

Sale Deed and Gift Deed Drafting in Delhi

A sale deed or gift deed is the document that actually moves ownership from one person to another. An error in the description of the property, the names of the parties or the recital of title can undermine the whole transaction, and such errors usually surface years later, when the owner tries to sell, mortgage or mutate the property. A sale deed and gift deed lawyer in Delhi makes sure the document is accurate, properly stamped and registered.

We draft and manage registration for both kinds of deed, and we review deeds already executed. Because a transfer is only as safe as the seller's title, we often begin with a title and document verification and finish with mutation in the municipal records.

Sale Deed Versus Gift Deed

A sale deed transfers property for a price and must record the true consideration, the exact property description, the seller's title, the possession handed over and the covenants of both sides. Under Section 54 of the Transfer of Property Act, a sale of immovable property worth ₹100 or more can be made only by a registered instrument, so an agreement to sell or a power of attorney does not complete the transfer.

A gift deed transfers property voluntarily and without payment, usually among family members. Under Section 122 it requires acceptance by the donee during the donor's lifetime, and under Section 123 it must be registered and attested by two witnesses. A registered gift deed is generally irrevocable, except on narrow grounds such as fraud or coercion or where the deed itself reserves a right to revoke. In Delhi, stamp duty on transfers differs by the buyer's category, and relatives and women may qualify for concessions, so we check the current rates before preparing the deed.

What We Handle

  • Sale deed drafting. Accurate property description, price, title recitals, possession, indemnity and tax and dues clauses.
  • Gift deed drafting. Clear language of voluntary transfer, acceptance by the donee, reservations of rights and life-interest clauses where wanted.
  • Stamp duty and registration. Calculation of duty and fees, e-stamping and booking an appointment at the Sub-Registrar's office.
  • Review of existing deeds. We read earlier deeds for errors in names, area, boundaries or authority, and fix them through rectification deeds.
  • Related transfer documents. Relinquishment deeds, release deeds and settlement deeds used in family partitions.
  • Post-registration work. Mutation, property-tax transfer, utility change and NOCs from societies, DDA or L&DO where needed.

From Draft to Registration

  1. Document check

We verify the seller's title, identity details and outstanding dues before any draft is prepared.

  2. Drafting

We prepare the deed, share it with both parties and revise it until the terms are clear and accurate.

  3. Stamping and registration

The deed is e-stamped and executed before the Sub-Registrar in the presence of the parties and two witnesses.

  4. Mutation and records

We file for mutation and update tax and utility records so the new owner's name appears everywhere.

Errors That Create Problems Later

  • Wrong property description. Incorrect plot number, area or boundaries can make the deed ambiguous and disputed.
  • Understating the price. Showing less than the real consideration may attract penalties and creates evidence problems for both parties.
  • Missing co-owners or heirs. A deed signed without all owners can be challenged and may lead to a property dispute.
  • Skipping registration. An unregistered deed does not transfer title and is generally inadmissible as proof of ownership.
  • Ignoring dues and approvals. Unpaid property tax, society dues or missing NOCs can block mutation and later resale.

Registration Offices and Authorities

Deeds in Delhi are registered at the Sub-Registrar office that has jurisdiction over the property, and properties in DDA, L&DO and society schemes may need prior permission or NOC. After registration we deal with the MCD for mutation and property-tax records. We prepare deeds for clients in Dwarka, Pitampura, Punjabi Bagh, Rohini and across South Delhi and the NCR.

Tax, Cost and Timing Points

Apart from stamp duty and registration fees, think about income tax and other charges. A seller may owe capital gains tax, and a buyer may need to deduct tax at source on property purchases above the prescribed value. Gifts from relatives are generally exempt, while gifts from non-relatives above the prescribed limit may be taxable. We flag these points so your accountant can plan, though we are not a substitute for tax advice.

Registration usually takes a day once the deed is ready and stamped, but preparation takes longer if the title needs checking. Book an appointment early, have all parties and witnesses available with original identity proofs, and keep the registered deed safely with a certified copy for daily use.

Documents Required to Draft a Sale Deed

  • Seller's title papers. Previous sale deed, chain documents and any Will or succession proof.
  • Identity proofs. PAN, Aadhaar and photographs of the buyer, seller and two witnesses.
  • Property records. Property-tax receipts, electricity bill, sanctioned plan and society NOC where applicable.
  • Transaction papers. Agreement to sell, payment details and loan sanction letter if financed.

Frequently Asked Questions

Q1. Is a gift deed always tax-free?

Gifts from specified close relatives are generally exempt from income tax, but the deed still attracts stamp duty and registration charges, and the rate depends on the relationship and the current Delhi rules. We confirm the position before the deed is drawn.

Q2. Can a gift deed be cancelled later?

A validly executed and registered gift deed is generally irrevocable. Cancellation is possible only in narrow situations, such as fraud, coercion or a revocation clause agreed at the time of drafting, and it usually requires a court order.

Q3. What documents are needed to draft a sale deed?

The seller's title documents, the previous sale deed, identity proofs of both parties, property-tax records and any approvals or NOCs. We give you the exact list for your property at the first meeting.

Q4. Is registration compulsory for a sale deed in Delhi?

Yes. A sale of immovable property above the statutory value must be made by a registered document. Without registration the buyer does not acquire legal title, even if full payment has been made.

Q5. Can I make a gift deed in favour of a daughter or spouse?

Yes. Any person who owns the property and has capacity can gift it to a relative or another person. The deed should be registered, the donee must accept, and the donor should confirm the property is free of disputes.

Q6. What is mutation and why is it needed after registration?

Mutation records the new owner's name in the municipal and revenue records. It does not create title, but it is needed for property tax, utility connections and smooth resale, so we complete it after registration.
